These Terms and Conditions govern access to and use of software and professional services provided by Modular Systems LLC ("Modular Systems") by the organization identified in an order form, proposal or subscription (the "Customer"). The applicable order and these Terms form the agreement between the parties.
1. Purpose and license
Modular Systems grants the Customer a limited, non-exclusive, non-transferable and revocable license to access the subscribed modules during the subscription term, solely for internal operations. The license does not transfer ownership of the software, code, design, documentation or components.
2. Service scope
Subscribed modules, users, properties, features, limits, fees and professional services are described in the applicable order. Implementation, migration, integration, additional training and custom development are included only when expressly listed in that order.
3. Customer obligations
- Provide accurate information, access and cooperation required for implementation.
- Protect credentials and manage user permissions.
- Use the service lawfully and not copy, resell, decompile, alter or interfere with the software.
- Have a lawful basis to upload and process guest, employee and third-party data.
- Pay fees when due.
4. Intellectual property
Modular Systems retains all rights in the platform, modules, improvements, documentation and underlying technology. The Customer retains ownership of its data. General developments and reusable improvements remain with Modular Systems unless a signed order states otherwise.
5. Availability and support
We seek to keep the service continuously available, subject to scheduled maintenance, updates, third-party failures and events beyond reasonable control. Specific service levels, support hours and response times apply only when included in a signed order or service-level agreement.
6. Fees, taxes and nonpayment
Subscriptions are billed in advance, monthly or annually, in US dollars, as stated in the order. The Customer is responsible for applicable taxes, except taxes on Modular Systems income. Nonpayment may result in suspension after reasonable notice without eliminating outstanding amounts.
7. Confidentiality and data
Each party will reasonably protect the other party’s confidential information and use it only to perform the agreement. Personal data processing is also governed by the Privacy Policy and, where applicable, a data processing agreement.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or punitive damages, or loss of profits, data or business. Modular Systems’ total cumulative liability will not exceed amounts paid by the Customer for the affected service during the twelve months preceding the event giving rise to the claim. This limitation does not apply where prohibited by law.
9. Term and termination
The agreement begins on the date stated in the order and continues for the subscribed term. Either party may terminate for a material breach not cured within thirty days after written notice. Upon termination, software access ends; payment, confidentiality, intellectual property and liability provisions survive.
10. Changes
We may update these Terms for future subscription periods. Material changes will be communicated through reasonable means and will not retroactively reduce rights already paid for during a current period.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The parties submit to the competent state or federal courts located in Wyoming unless otherwise agreed in writing.
